Oriental Hotels Limited (OHL) is set to merge with Indian Hotels Company Limited (IHCL), the Tata Group’s hospitality arm, through a Scheme of Arrangement. This merger is an all-stock transaction, completed via a share exchange rather than cash payment.Under the arrangement, OHL shareholders will receive 25 IHCL shares for every 117 OHL shares they hold.
This share-exchange ratio enables OHL shareholders to become IHCL shareholders after the transaction completes. The merger will bring Oriental Hotels under IHCL, consolidating the Tata Group’s hospitality interests. By combining the two companies, the deal aims to create a more unified business structure and strengthen IHCL’s position in India’s hospitality sector.
